MjengoX Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") are an agreement between you and Saos Flow Limited ("MjengoX", "we", "us") governing your use of the MjengoX mobile app and website (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you don't agree, please don't use the Service.

You must be at least 18 years old and able to form a binding contract to use MjengoX.

2. What MjengoX does

MjengoX helps you track construction project finances: budgets, payments, purchases, and bill-of-quantities estimates. Part of this involves using AI to extract structured data from documents and messages you upload, as described in our Privacy Policy.

3. Your Account

• You must provide accurate information when registering, and keep your login credentials confidential.
• You're responsible for all activity that happens under your account.
• Notify us immediately at support@mjengox.com if you suspect unauthorized access to your account.

4. Pricing and Payments

MjengoX offers a free Starter tier with a limited document-processing allowance, and paid tiers (Builder, Professional) with a larger allowance, billed as described at the time of purchase. Payments made through the mobile app are processed via Google Play Billing (or, for eligible users, another payment method Google permits); payments made through the website are processed by secure third-party payment providers. We do not store your full payment card details; these are handled entirely by our payment processors.

Purchased document allowances are non-refundable except where required by law, or where we determine in our reasonable discretion that a refund is appropriate, for example, a documented processing failure on our side. Document allowances are not deducted where processing fails before extraction is completed due to a technical issue on our side.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose, or to store or process information you don't have the right to record
• Attempt to access another user's account or data
• Reverse-engineer, decompile, or scrape the Service, or interfere with its normal operation
• Upload malicious files or content designed to disrupt the Service or attack our AI processing pipeline, including prompt-injection attempts
• Resell or provide commercial access to the Service to third parties without our written permission

We may suspend or terminate accounts that violate these Terms.

6. Your Content

You retain ownership of the project, financial, and document data you upload to MjengoX ("Your Content"). By uploading Your Content, you grant MjengoX a limited license to store, process, and display it back to you as needed to provide the Service, including sending it to the AI providers described in our Privacy Policy for extraction purposes. We don't claim ownership of Your Content, and we don't use it to train AI models.

You're responsible for Your Content, including having the right to record any third-party information it contains, such as a supplier's or worker's name appearing in a receipt or payment message.

7. Our Intellectual Property

The MjengoX app, website, branding, and underlying software are owned by Saos Flow Limited and protected by copyright and other intellectual property laws. These Terms don't grant you any rights to our trademarks, logos, or source code.

8. Archiving, Deletion, and Account Termination

• You can archive a project at any time, which freezes it as permanently read-only while keeping all its data intact.
• A project with any recorded activity, such as payments, purchases, or documents, cannot be permanently deleted; archive it instead. An empty project can be deleted at any time.
• You can delete your account at any time; see our Privacy Policy for what happens to your data when you do.
• We may suspend or terminate your access to the Service if you violate these Terms, or if required to comply with law.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI-EXTRACTED DATA OR COST ESTIMATES WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PROJECT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MJENGOX AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE, INCLUDING ANY DECISION MADE IN RELIANCE ON AN AI-EXTRACTED OR AI-ESTIMATED FIGURE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

Nothing in these Terms limits any liability that cannot legally be limited, such as liability for fraud or for death or personal injury caused by our negligence.

11. Indemnification

You agree to indemnify and hold MjengoX harmless from any claim arising from Your Content, your violation of these Terms, or your violation of any law or third-party right.

12. Force Majeure

We are not responsible for service interruptions caused by events beyond our reasonable control, including internet outages, cloud provider failures, natural disasters, acts of government, or failures of third-party services.

13. Governing Law and Disputes

These Terms are governed by the laws of Kenya. Any dispute arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of Kenya.

14. Changes To These Terms

We may update these Terms from time to time. If we make material changes, we'll notify you by email or through the app before they take effect. Continuing to use the Service after changes take effect means you accept the updated Terms.

15. Availability

While we aim for high availability, uninterrupted access cannot be guaranteed.
